Terms of Service

1. Definitions
1.1 “Dockit Law” refers to Dockit Law Ltd., the provider of the Dockit Law SaaS platform.
1.2 “Service” means the Dockit Law platform, including all features, integrations (including Google API Services), and related support.
1.3 “User” means any individual or entity who registers for or uses the Service.
1.4 “Account” means a registered user account on Dockit Law.
1.5 “Content” means all data, documents, files, and information uploaded, created, or processed via the Service.
1.6 “User Content” means Content provided or generated by Users.
1.7 “Intellectual Property” means all copyrights, trademarks, patents, trade secrets, and other proprietary rights.
1.8 “API” means any application programming interface provided by Dockit Law or integrated third parties (including Google APIs).
1.9 “Subprocessor” means a third party engaged by Dockit Law to process data on its behalf.
1.10 “Applicable Law” includes all relevant laws and regulations, including GDPR, UK Data Protection Act, CCPA/CPRA, Sri Lankan Personal Data Protection Act, and Google API Services User Data Policy.
2. Eligibility
2.1 Age Requirement: Users must be at least 18 years old (or the legal age of majority in their jurisdiction) to register for or use the Service.
2.2 Legal Capacity: Users must have the legal capacity to enter into a binding contract.
2.3 Prohibited Jurisdictions: The Service is not available to individuals or entities in jurisdictions subject to applicable trade sanctions or export restrictions.
2.4 Compliance: Users must comply with all applicable laws and regulations in their use of the Service.
3. Account Creation and Security
3.1 Account Registration: To access the Service, Users must create an Account by providing accurate, current, and complete information.
3.2 Account Security: Users are responsible for maintaining the confidentiality of their Account credentials and for all activities under their Account.
3.3 Account Restrictions: Users may not create more than one Account per individual or entity, or share their Account with others.
3.4 Account Termination: Dockit Law reserves the right to suspend or terminate Accounts for violations of these Terms or applicable law.
4. User Responsibilities
4.1 Accurate Information: Users must provide and maintain accurate information in their Account.
4.2 Lawful Use: Users may only use the Service for lawful purposes and in accordance with these Terms.
4.3 User Content: Users are solely responsible for all User Content uploaded or created via the Service.
4.4 Data Backups: Users are responsible for maintaining backup copies of their User Content.
5. Prohibited Conduct
5.1 Prohibited Activities: Users may not:
- Violate any applicable law or regulation.
- Infringe the intellectual property or privacy rights of others.
- Upload or transmit malicious code, viruses, or harmful content.
- Attempt to gain unauthorized access to the Service or related systems.
- Use the Service for spamming, phishing, or fraudulent activities.
- Reverse engineer, decompile, or attempt to extract source code from the Service or APIs.
- Circumvent security or usage restrictions.
- Use the Service to process or store data subject to special regulatory regimes (e.g., protected health information under HIPAA) without prior written consent.
- Use the Service in a manner that could harm Dockit Law, its users, or third parties.
6. Intellectual Property
6.1 Service Ownership: Dockit Law and its licensors retain all rights, title, and interest in and to the Service, including all software, documentation, and related intellectual property.
6.2 User Content Ownership: Users retain ownership of their User Content. By uploading or creating Content, Users grant Dockit Law a limited, non-exclusive, royalty-free license to use, store, process, and display such Content solely for the purpose of providing the Service.
6.3 Feedback: Users grant Dockit Law a perpetual, irrevocable, royalty-free license to use any feedback or suggestions provided regarding the Service.
6.4 Third-Party Content: Use of third-party APIs or integrations (including Google APIs) is subject to their respective terms and policies.
7. API Usage and Restrictions
7.1 API Access: Dockit Law may provide access to APIs for integration or automation purposes. API usage is subject to these Terms and any additional API documentation or terms.
7.2 Google API Integration:
- Use of Google API Services is governed by Google API Services User Data Policy, including Limited Use requirements.
- Users must not use the Service to access or process Google user data beyond the scopes and purposes disclosed during OAuth consent.
7.3 API Limitations: Dockit Law may impose rate limits, usage quotas, or other restrictions on API usage.
7.4 API Security: Users must keep API credentials confidential and not share them with unauthorized parties.
7.5 Prohibited API Activities: Users may not sublicense, resell, or offer the APIs for use by third parties, or use APIs to build competing services.
8. Data Protection and Privacy
8.1 Privacy Policy: Use of the Service is subject to Dockit Law’s Privacy Policy, which forms part of these Terms.
8.2 Data Processing Agreement: Where required by law, a Data Processing Agreement (DPA) is incorporated by reference, governing the processing of personal data.
8.3 User Obligations: Users must ensure that their use of the Service and any User Content complies with applicable data protection laws.
8.4 Security: Dockit Law implements reasonable security measures to protect user data, as described in the Privacy Policy.
9. Subscription, Payment, and Refunds
9.1 Subscription Plans: The Service may be offered on a subscription basis. Details of plans, pricing, and features are provided on the Dockit Law website.
9.2 Billing and Payment: Users agree to pay all fees associated with their chosen subscription plan.
9.3 Automatic Renewal: Subscriptions may renew automatically unless canceled prior to the renewal date.
9.4 Refund Policy: Refunds are provided only as expressly stated in the subscription terms or as required by law.
9.5 Taxes: Users are responsible for all applicable taxes.
10. Limitation of Liability
10.1 Service “As Is”: The Service is provided “as is” and “as available,” without warranties of any kind, express or implied.
10.2 Liability Cap: To the maximum extent permitted by law, Dockit Law’s total liability for any claim arising out of or relating to the Service is limited to the amount paid by the user in the 12 months preceding the event giving rise to the claim.
10.3 Exclusion of Damages: Dockit Law is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill.
10.4 Exceptions: These limitations do not exclude liability for gross negligence, willful misconduct, or any liability that cannot be excluded by law.
11. Indemnification
11.1 User Indemnity: Users agree to indemnify and hold harmless Dockit Law, its affiliates, officers, and employees from any claims, damages, losses, or expenses arising from:
- User’s violation of these Terms or applicable law.
- User Content or data processed via the Service.
- User’s misuse of APIs or third-party integrations.
11.2 Dockit Law Indemnity: Dockit Law will indemnify users for claims that the Service infringes third-party intellectual property rights, subject to limitations and user cooperation.
12. Governing Law and Dispute Resolution
12.1 Governing Law: These Terms are governed by the laws of the jurisdiction specified in the user’s subscription agreement or, if unspecified, the laws of England and Wales, without regard to conflict of law principles.
12.2 Jurisdiction: Any disputes arising from these Terms or the Service will be resolved in the courts of the governing jurisdiction, unless otherwise agreed.
12.3 Arbitration: Dockit Law may require that certain disputes be resolved by binding arbitration, with details provided in the subscription agreement or as notified to users.
12.4 Class Action Waiver: Users agree to resolve disputes individually and not as part of a class or representative action.
13. Termination
13.1 Termination by User: Users may terminate their Account at any time via account settings or by contacting support.
13.2 Termination by Dockit Law: Dockit Law may suspend or terminate Accounts for violations of these Terms, non-payment, or as required by law.
13.3 Effect of Termination: Upon termination, user access to the Service is revoked, and User Content may be deleted after 30 days, subject to data retention obligations.
13.4 Survival: Provisions relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.
14. Updates to Terms
14.1 Modifications: Dockit Law may update these Terms from time to time. Material changes will be notified to users at least 30 days in advance.
14.2 Continued Use: Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.
15. Audit Rights and Compliance
15.1 Audit Rights: Dockit Law reserves the right to audit user compliance with these Terms, especially regarding API usage and data protection.
15.2 User Audits: Where required by law or DPA, users may audit Dockit Law’s compliance with data protection obligations, subject to reasonable notice and confidentiality.
16. Miscellaneous
16.1 Entire Agreement: These Terms, the Privacy Policy, and any referenced agreements constitute the entire agreement between Dockit Law and the user.
16.2 Assignment: Users may not assign their rights or obligations under these Terms without Dockit Law’s prior written consent.
16.3 Severability: If any provision is found invalid, the remainder of the Terms remains in effect.
16.4 Waiver: Failure to enforce any provision does not constitute a waiver.
16.5 Force Majeure: Dockit Law is not liable for delays or failures due to events beyond its reasonable control.
16.6 Notices: Notices to users may be sent via email or posted on the Service.

Special Clauses for Google API Integration
- Dockit Law’s use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
- Users are informed of requested OAuth scopes and purposes during consent, and may revoke access at any time.
- Google user data is not used for advertising, profiling, or any secondary purpose without renewed user consent.
- Dockit Law does not sell or transfer Google user data to third parties except as necessary to provide the Service and only with user opt-in consent.
- Dockit Law will promptly notify users and Google of any unauthorized access or use of Google user data, as required by applicable law and Google policies.
Data Processing Agreement (DPA) Summary
- Dockit Law acts as a processor on behalf of customers (controllers) for personal data processed via the Service.
- The DPA includes obligations for data security, breach notification, subprocessor management, data subject rights assistance, and international transfers in compliance with GDPR, UK GDPR, CCPA/CPRA, and Sri Lankan law.
- Subprocessors are contractually bound to equivalent data protection obligations, and customers are notified of any changes.
- Customers may audit Dockit Law’s compliance with data protection obligations, subject to reasonable notice and confidentiality.
By using Dockit Law, you acknowledge that you have read, understood, and agree to be bound by this Terms of Service.
